This company acts as a Registered Agent for folks who incorporate in Delaware. I have used them for 2 of my companies. Recently they seem to have undergone a change and moved their focus from the customer to the bank account. Although I dissolved my company on 14 Sep 2014, they have continued to invoice me and send nasty letters and emails in order to collect a fee that they are not entitled to.
Perhaps being listed among your many crappy companies, they will reevaluate their purpose and become helpful again.
Fraudulent business practices & billing fraud
Date of Incident: 06/30/2015
I ordered a basic incorporation package which was $99 + state filing fees. Total was $169 which I agreed too. 2 weeks later they charged my credit card an additional $235 for a registered agent service which I never ordered. I called customer service and demanded a refund. They were extremely rude and refused to issue a refund.
Furthermore, I attempted to send a registered and certified mail to them demanding a refund and for them to close any account I have with them. I sent the mail to the address listed on their site incorporate.com:
The Company Corporation
2711 Centerville Rd., Suite 400
Wilmington, DE 19808
The mail was sent back to me as undeliverable. This means they refused to sign for the letter. I also sent a copy regular mail, so they get it anyway.
After reading so many complaints about their fraudulent practices on the BBB website and at /link removed/ I decided to call them again, because in about a year they will try to bill me the $235 again, and then threaten collection when I don't pay.
The customer service rep refused to cancel any accounts I have with them. Refused to remove their company as the registered agent, which I never asked for in the first place and said I could PAY them to get the registered agent information changed over to me. They continued to insist that I ordered their BOGUS registered agent service which I DID NOT.
I lost it at that point. I went ahead and filed the paperwork with the State of Florida myself and paid the appropriate fee to get the registered agent status changed, so next time they bill be, It will be straight up theft. It was straight up theft this time, but will doubly be so next time.
I am filing with the State's Attorney office in Delaware today and will file with the FTC as well. I will make sure every complaint board knows my story. I will contact news stations and lawyers. I won't stop until the owners/officers of that company are in jail!
I warn anybody who will consider their service of Incorporate.com or The Company Corp. You will be charged an additional $235 or more than you expected. The second charge will happen in 2 or 3 weeks after your original order. In my case, I was not even able to get my credit card to issue a refund even though I sent the original receipt of the original purchase which clearly identified my order total was only $169. I continue to dispute this transaction though no satisfaction as of yet.
Incorporate.com is a thief, fraudulent and highly deceptive. Buyer beware!

I registered a business license through CorpAmerica, another name for The Company Corporation that try to acquire payments from their clients through means of fraud. I had no idea how truly fraudulent this company is.
This is how their deliberate scam works:
1. You register your license under one of their many DBA names. I registered mine through Corp America, Inc., Telephone: [protected], http://www.corpamerica.com
Their other DBA names:
Corporate Agents, Inc.
The Company Corp.
The United State Corporation Company
http://Incorporate.com
http://LLC.com
CorpAmerica
Registered Agent Authority
InstaCorp
2. You are provided with a link to download your business license, and you are instructed that you are not allowed to use their registered agent or their address as your representative, or contact for business activities.
Now comes the scam: The name then changes from CorpAmerica to The Company Corporation (2711 Centerville Rd., Suite 400 Wilmington Delaware 19808, Phone: [protected], www.incorporate.com). Under this "new" name CorpAmerica will try to collect payments - illegally - from you.
All other business notifications are issued in the name of CorpAmerica. In this way CorpAmerica does not fall under the radar and new customers will not know that the company is really operating a form of consumer fraud.
3. One year later you will start getting odd "Registered Agent" invoices ranging from $230 or more from The Company Corporation, not CorpAmerica. You are then demanded to pay for "Statutory Representation". You have no choice to decline to not pay. And lets not forget that when you registered your license through CorpAmerica you were NOT ALLOWED to use them as your "representatives" in any communication.
4. From then onwards The Company Corporation (alisa CorpAmerica, Instacorp, Incorporate, Corporate Agens, etc) will keep billing you and demand a payment of services you never signed up for and don't even want. If you object and refuse to pay they send your account to debt collection proceedings!
Oh, but the scam gets even worse. You DO have an option to NOT continue paying. That is, if you pay them a "cancellation fee".
So hear this out: you are billed for a service you never signed up for in the first place, you are threatened with debt collection proceedings to ruin your credit if you don't comply, but you can cancel if you want but only if you pay a cancellation fee to a service you never had in the first place...
Its a deliberate scam from start to finish.
You are not obligated to use their services if you don't want to. Any matters related to your business license is between you and the State of Delaware - not between you and CorpAmerica/The Company Corporation.
4. This is the notice they will send you when they try to bill you illegally (no contact name is issued in the notice)
"Thank you for your message. According to the Secretary of State's records, this company is still active and has not been formally dissolved. In order to discontinue Registered Agent service and any invoices for which the coverage period has not yet begun, we will need you to send a copy of the official evidence of your dissolution filing, stamped and approved by the Secretary of State, to our office. This documentation can be emailed or faxed to us at [protected]. The Company Corporation can assist in a formal dissolution filing if you wish. We charge a service fee of $125.00 in addition to the state fees. If you would like to place an order, we begin the process with a nonrefundable $50.00 deposit to prepare the fee breakdown and paperwork for you. Please feel free to contact one of our Business Specialists at [protected] or [protected] to place an order. You can also contact the state directly to verify this at [protected]. We thank you for your business."
5. They have over 100 complaints filed against them with the BBB: http://www.bbb.org/delaware/Business-Reviews/incorporating-companies/the-company-corporation-in-wilmington-de-1473001/complaints/
20/20 recently reported that companies BUY their rating from the BBB: http://www.youtube.com/watch?v=Yo8kfV9kONw
In spite of 100 complaints made against The Company Corporation the BBB continues giving them an A+ rating! Unbelievable.
* Since numerous people revealed this scam operation, The Company Corporation suddenly issued a public notice on their website that "CorpAmerica is now a part of The Company Corporation".
** A complaint has been filed with the FTC against The Company Corporation/Corp America and their illegal business practices.

incorporate.com is a fraud. Deceptive products, marketing and service. Use Harvard's service. incorporate.com is five times higher. The have changed their name numerous times recently. Horrible experience. Deceptive.
I had never heard of this company. Recently, I received multiple fraudulent billings on my credit card, which they processed, in multiple different names, ie. The Company Corp, incorporate.com, etc. Phone calls to them were met with me being left on line till I had to hang up. No apology was extended, nor did they admit any fraudulent activity on their part. Fortunately my credit card company removed the charges, but their telephone manner and refusal to help me know how this happened leads me to believe this is business as usual for them

I used The Company Corporation to register my company in Pennsylvania last year. Their price was at par with other services, but I used them because I had a good experience with them when I registered another company 15 years ago (they just started their services). I just learned how they tried to trick me into more unnecessary services.
After we received a bill from them for "Statutory Representation in PA", I found out that they registered themselves as our registered agents in PA. Since our address in PA, there was no need for them to do that. The only reason they did that to continue bill us for services. We can and will change this with PA Department of State, but now we have to pay $70 filing fee to change registered agent.
This is a clearly deceiving practice on the part of The Company Corporation -- I do not recommend using them.
Then in addition to the problem I reported above, I recently discovered another problem with their service. Please read carefully not to make the same mistake, and do not use Company Corporation for your incorporation services.
When I incorporated, I selected the Subchapter S corporation on the CC on-line questionnaire. CC on-line system led me to believe that their service would register my company as a subchapter S. It turned out that I had to pay CC extra for filing the proper form with the IRS to make my company an S corporation (critical if you want to carry profits and losses to your individual tax return). Since I did buy the extra service, CC just registered my company as default C corporation without clearly letting me know. CC does not even inform their customers that a special form must be filed with the IRS after incorporation in order to register for the subchapter S status. Why then they ask their customers to specify whether they want to register a subchapter S or C? I only found out about the improper registration when my accountant started to prepare our tax return for 2010.
Again, I do not recommend using Company Corporation services.
